What company registration involves

Registering a private company with the Companies and Intellectual Property Commission (CIPC) creates a separate legal entity with its own registration number and registration certificate. Most small businesses use a private company — (Pty) Ltd — with CIPC's standard Memorandum of Incorporation (MOI).

Registration is only the first step. A new company also needs its beneficial ownership information on record with CIPC, an annual return every year, and — depending on what it does — registrations with SARS, the Central Supplier Database or the Compensation Fund.

Who needs it

  • Founders who want a business that is legally separate from them personally
  • Sole proprietors moving to a company structure
  • Businesses that need a company to open a business bank account or sign contracts
  • Anyone planning to supply government or large corporates, which usually requires a registered entity

More than a registration certificate

Register your company. Get ready to do business.

Our qualifying registration packages go beyond the CIPC filing: we help you apply for a business bank account and, once it is open, register you on the Central Supplier Database.

How your business setup runs

Each step builds on the one before. CSD verifies your bank details, so CSD registration follows once your business bank account is open.

What we handle — and what the authority handles

Afri-Cafe is an independent administration partner. We are not CIPC and SARS and cannot make decisions on its behalf.

Afri-Cafe handles

  • Checking your proposed names before reservation
  • Name reservation and the registration filing with CIPC
  • Preparing the standard MOI and registration documents
  • Following up on CIPC queries until a decision is made
  • Sending you your registration documents and a clear next-steps checklist

CIPC and SARS handles

  • CIPC approves or rejects the proposed name
  • CIPC registers the company and issues the registration certificate
  • SARS issues an income tax reference number for newly registered companies

How it works

The process, step by step

  1. STEP 01

    Tell us about the company

Share your name options, directors and shareholding through the enquiry form.

  2. STEP 02

    Document checklist

We send exactly what we need and check it before anything is filed.

  3. STEP 03

    Name reservation and filing

We reserve the name and submit the registration to CIPC.

  4. STEP 04

    CIPC review

CIPC reviews the application. We respond to any queries on your behalf.

  5. STEP 05

    Registered — and next steps

You receive your registration documents and a checklist for beneficial ownership, tax and banking. In a registration package, we then help with your business bank account application and, once it is open, your CSD registration.

CIPC's review time varies and is outside Afri-Cafe's control, and CIPC can reject a name that is too similar to an existing one. We submit as soon as your documents are complete and keep you updated until CIPC makes a decision.

Common problems we help you avoid

  • Name rejected

Names too similar to existing companies or trademarks are refused. Checking alternatives first saves time.

  • ID details don't match

Director details must match Home Affairs records exactly, or the filing is queried.

  • Beneficial ownership not filed

CIPC requires beneficial ownership information. Leaving it out causes problems at annual-return time.

  • Assuming registration means tax compliance

A registered company still needs the right SARS registrations and a tax compliance status before most buyers will pay it.

Company Registration Assistance: frequently asked questions

Is the CIPC fee included in the R795 service fee?

No. The CIPC registration fee is a government fee charged separately, so you can see exactly what goes to CIPC and what is Afri-Cafe's service fee.

Can I register a company without a name?

Yes. A company can be registered under its registration number and given a name later. CIPC charges a lower fee for this option.

How long does company registration take?

It depends mainly on CIPC's review time, which we don't control. We file as soon as your documents are complete and keep you updated throughout.

Do I need to register for tax separately?

SARS issues an income tax reference for newly registered companies. VAT, PAYE, UIF and SDL are separate registrations that apply depending on your turnover and whether you employ staff.

Can you help me open a business bank account?

Yes. Our qualifying registration packages include Business Bank Account Application Assistance: we prepare the company documents banks usually ask for and help you through the bank's application and onboarding. The bank decides on approval and carries out its own FICA checks, and any bank charges are set by the bank.

Is CSD registration included?

National Treasury does not charge for CSD registration. Our qualifying registration packages include our CSD registration assistance, normally R695, free. Because CSD verifies your bank details, it is completed after your business bank account is open.

What should I do after registration?

Keep your beneficial ownership information up to date, open a business bank account, set up your SARS registered representative, and diarise your annual return. We can handle each of these.
